THOMAS C. SIMA
Thomas C. Sima is a transactional and corporate attorney who helps clients with incorporating businesses, drafting partnership agreements and corporate documents, drafting employment agreements, advising on mergers, acquisitions, stock sales, asset purchases, and other large transactions.
Tom has developed an active practice representing clients from Russian-speaking countries who are doing business in the United States. Tom also advises American companies in international deals involving Russian-speaking counterparties.
He started his career in the New York and Hong Kong offices of Shearman & Sterling, where he gained experience handling complex matters in international finance, mergers & acquisitions and corporate governance. He now has over 15 years of experience working with international clients, primarily from the former Soviet Union and East Asia, and has represented clients in a broad range of activities, from oil & gas to investment funds.
Tom has a general commercial practice, with extensive experience in the following areas:
General Corporate Work. Representation of business entities formed in New York, Delaware and various offshore jurisdictions in registration, day-to-day operations, capital raising efforts, employment agreements, reorganizations and liquidations.
Mergers and Acquisitions. Significant experience with cross-border acquisitions in a number of fields, including petroleum, timber/woodworking and telecommunications.
Bank Finance. Has worked extensively with secured and unsecured credit facilities, including syndicated loans, convertible debt, revolving credit facilities, asset-based lending, letters of credit, securitizations and project finance.
Securities Law. Very familiar with public offerings and private placements of debt and equity, option plans, delistings and periodic SEC filings.
Private Equity and Start-Ups. Has worked with numerous start-ups seeking financing and investment groups seeking to deploy investments.
Commercial Real Estate. Fully familiar with real estate transactions from routine office leases to commercial purchases in a wide variety of industries, including restaurants, bars and night clubs.
Tax Considerations. Upon specific client request, tax analysis may be provided. In accordance with IRS regulations, tax advice is only provided when expressly stated in the terms of the engagement letter for the matter in question.
Oil and Gas. Substantial experience on projects in this field, including project financing (both upstream and downstream) and acquisitions, particularly in Russia and elsewhere in the former Soviet Union.
Business Immigration. Experience working with clients to bring professionals to the United States on immigrant and non-immigrant visas, including the EB-5 investor visa program.
Entertainment Law. Provides a variety of services, including licensing agreements, releases, engagement agreements for actors, musicians and other talent, commission agreements and agency agreements.
Offshore Entities. Comfortable with the full range of offshore entities, from special purpose vehicles to offshore asset protection trusts.
Former Soviet Union. Familiar with the legal climate in many countries of the former Soviet Union, with an extensive network of trusted contacts in Russia, Kazakhstan, Kyrgyzstan, Ukraine and Belarus.
